Bylaws
Section 1. The President shall preside at all functions of the Association and shall conduct them in accordance to the rules adopted by the Board of Directors. The President shall enforce due observance of the Constitution and Bylaws, decide all questions of order; sign all official documents adopted by the Association, and perform other such duties as directed by the Board of Directors. Section 2. The Secretary shall keep a record of all proceedings of the Association, keep a record of all members, submit membership applications, carry on all correspondence and inform all members of the Association business. Section 3. The Treasurer shall receive and receipt for all moneys paid to the Association, keep an accurate account of all moneys received and expended; pay all bills and expenses approved by the Board of Directors. ARTICLE II. Association Membership Membership shall be open to all currently licensed amateur radio operators who have an interest in DX. ARTICLE III. Association Activities The Hawaii DX Association shall engage in the following activities:
ARTICLE IV. Committees The Board of Directors shall establish committees to carry out the functions of the Association. Each committee shall consist of at least three (3) members in good standing. The President shall be an ex-offico member of all committees. The members of each committee shall elect a Chair person who will coordinate all committee activities and report the results to the Board of Directors. All committee activities shall be conducted by electronic means. If a committee should elect to meet in person, no committee member shall be excluded and all members of the committee shall participate. Initially, there shall be at least the following committees: 1. Certification Committee: The Certification Committee shall be responsible for verifying all member submittals for awards and certificates. This may be accomplished by mail or electronic means. Applications for awards as defined above in Article III, shall be made on HDXA Form 2 or its equivalent. The Committee shall make every effort to accept confirmation of countries worked by electronic means and shall develop the best way to accomplish its mission. To apply for all awards as listed above, the current ARRL DXCC countries list showing all countries/entities will be used. The committee shall approve and recommend to the Board of Directors those members who are to be issued an award. Deleted countries will not be counted. All applications will become the property of HDXA and may be used to check for improprieties. The Certification Committee shall have the final say on any and all improprieties. The Board of Directors shall take action on those recommendations within 30 days of notification by the Certification Committee. A submittal by any member shall be deemed acceptable until shown to be false. Should any member submit false information for any reason, that member shall be suspended by a two-thirds (2/3) vote of the Board of Directors and shall forfeit all fees, dues, awards, and certificates to the Association 2. Awards Committee: The Awards Committee shall be responsible for designing, preparing, and mailing certificates and endorsement stickers to those members who have qualified for an award as identified in Article III above. The Awards Committee shall issue the appropriate award when final approval is given by the Board of Directors. In addition to designing the Special Award for members qualified for working and confirming the 310 countries, the committee shall determine the cost of the award and obtain approval for the cost from the Board of Directors. It is anticipated that the award cost including shipping and handling will vary from time to time. 3. Membership Committee: The Membership Committee shall maintain an up to date membership list containing all member information. The membership list shall be made available to all members upon request and to all Association Committees. Membership lists shall not be made available to other organizations or groups without an affirmative vote of the Board of Directors. ARTICLE V. Amendments These Bylaws may be amended from time to time by a two-thirds (2/3) vote of the members in good standing. At least fifty-one (51) percent of the members must vote to establish a quorum. The Association Secretary shall certify the quorum and the final vote. Proposals for amendments shall be submitted in writing to the Board of Directors and submitted to the membership for consideration. The Board of Directors shall call for ballots from the membership and announce the results within ninety (90) days from the date of submittal. The Association Secretary shall certify all results and prepare an updated version of the Bylaws. The updated and signed version of the Bylaws shall be made available to all members.
